Unlike most corporation services we take a "hands on" approach to corporate and LLC records. We act as secretary or assistant secretary to your company and as such become the "custodian of the corporate record". We maintain the corporate kit here at the corporate office (you receive a signed duplicate). Initially we prepare the bylaws (or the Operating agreement for an LLC), minutes, resolutions and issue stock certificates. Then annually we send out notices of the stockholders and directors/managers meetings along with proxies. We then hold the annual meetings here at your corporate office by proxy. Once completed we prepare minutes of the meetings, insert them into the corporate record, then file the appropriate forms with the Secretary of State's Office in order to keep the company in good legal standing.
