The Stockholders of a Nevada Corporation or the Members of a (Manager managed) Limited Liability Company (LLC) are not listed in the Secretary of State records! Whether you are an attorney or the IRS, you cannot determine the owner by contacting the Secretary of State. Additionally Nevada law prevents anyone (including creditors) from accessing the corporation's stock ledger. The penalty in Nevada for using stockholder information for any purpose other than to have a stockholder defend his interest in the company is up to one year in jail and a $2,000 fine.
However at the County Level this wall of privacy generally crumbles. Each year when you apply for a business License issued by the County you are required to release information about the owners. Most Nevada Counties require a Business License, except; Douglas County, does not require, or even issue Business Licenses. So because of our Unique location in Lake Tahoe, the Stockholders privacy is protected. If you want to safeguard against lawsuits, privacy is important! If your Resident Agent or Corporate base of Operations are is based in Las Vegas, Reno or Carson City you will be required to apply for a local business license and reveal ownership information. Remember if we act as your Registered Agent your Privacy is assured: No local Business License application is required and any information we maintain on your Corporation or LLC is held in the strictest confidence.
